Lan Signer End User License Agreement and Terms of Service

1. Acknowledgement (Platform)

You and Loheden AI Solutions AB acknowledge that this Agreement is concluded between you and Loheden AI Solutions AB only, not with Apple Inc. ("Apple"). Loheden AI Solutions AB, not Apple, is solely responsible for Lan Signer and its content. This Agreement does not conflict with the Apple Media Services Terms and Conditions.

2. Scope of License

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on Apple-branded products you own or control pursuant to the Apple Media Services Usage Rules, solely for your own personal, non-commercial PDF signing, summarization, and document management activities. The App may also be accessed by other accounts associated with the purchaser via Family Sharing where permitted by Apple.

You may not sell, rent, lease, sublicense, distribute, publicly display, reverse engineer, decompile, disassemble, derive source code from, modify, or create derivative works of the App or Services except where such restrictions are prohibited by applicable law.

3. Nature of Service; No Professional Advice

IMPORTANT: Lan Signer does not provide professional advice.

Lan Signer is a PDF document viewing, AI summarization, autofill, and electronic signature utility. It does not provide legal, tax, accounting, compliance, notary, authentication, or any other professional advice.

Electronic Signatures: The App allows creation and placement of electronic signatures on PDF documents. We make no representations, warranties, or guarantees about:

• The legal validity, enforceability, or binding nature of signatures created using the App
• Compliance with electronic signature laws in your jurisdiction (including but not limited to the U.S. ESIGN Act, UETA, EU eIDAS Regulation, or other international laws)
• Acceptance of signatures by third parties, courts, or government agencies
• Authentication, certification, or verification of signatory identity

AI-Generated Content: The App uses on-device Apple Intelligence (Foundation Models framework) to generate document summaries and suggest autofill values. AI-generated content is provided for convenience only and may contain inaccuracies, omissions, misinterpretations, or errors.

You are solely responsible for:

• Verifying the accuracy, legality, and completeness of all AI summaries
• Reviewing autofill suggestions before accepting them
• Ensuring documents meet applicable legal requirements before signing
• Understanding the legal implications of electronic signatures in your jurisdiction
• Determining whether documents are appropriate for electronic signature
• Maintaining original documents as required by law
• Complying with all signature disclosure, authentication, and record retention rules

Do not rely solely on AI summaries for legal, financial, medical, or business decisions. Always verify against the original document.

4. On-Device Processing and Data Storage

Local-First Architecture: All PDF content, user data, signatures, and AI processing occur entirely on your device. We do not transmit, upload, or store your PDF documents, signatures, or personal information on our servers.

Core Data: PDF metadata (filename, import date, signed status), user profile information (name, email, phone, address), saved signatures, and AI-generated summaries are stored locally on your device using Core Data.

Optional iCloud Backup: If you enable iCloud backup in Settings, encrypted database files and PDF documents are copied to your personal iCloud Drive under Apple's iCloud Terms and Conditions. We do not access, view, or control your iCloud backups. iCloud backup is disabled by default and entirely optional.

Your Responsibilities:

• You are responsible for backing up and exporting your data
• Deleting local data, disabling iCloud backup, or uninstalling the App may permanently remove records not separately backed up
• We are not responsible for lost, corrupted, or irrecoverable data
• You must maintain device security (passcode, biometric authentication, encryption)
• You must protect against unauthorized device access, malware, or security breaches

Data Deletion: Deleting the App removes all local data. iCloud backups (if enabled) persist according to your iCloud settings and Apple's retention policies.

5. Subscription Features and Entitlements

Certain features may require an active subscription or one-time in-app purchase, including but not limited to:

• Enhanced PDF processing capabilities
• Advanced AI features
• Extended functionality
• Additional customization options

The specific features available in free versus paid tiers may change at our discretion with or without notice.

Entitlements are validated through Apple's App Store billing services and RevenueCat. Access to premium features continues only while the subscription remains active or for lifetime purchases.

We reserve the right to:

• Modify, add, retire, or limit premium features with reasonable notice
• Change free tier limits at any time
• Discontinue or suspend Services for maintenance, updates, or security

If we materially reduce core subscribed functionality during an active paid period, your sole remedy is to cancel future renewal and request a refund through Apple's App Store (subject to Apple's refund policies).

Uninstalling the App does not cancel a subscription. Cancellation must occur through your Apple App Store account settings before the renewal date.

6. Billing, Trials, and Refunds

Platform Billing: All subscription billing, pricing, local taxes/VAT, currency conversions, and payment processing are managed exclusively by Apple through the App Store. We do not process payments or store payment information.

Subscription Options: We may offer various subscription durations (weekly, monthly, quarterly, annual) and one-time purchases. Specific offerings, pricing, and availability are displayed in the App Store and may vary by region.

Free Trials: If offered, free trials automatically convert to paid subscriptions unless cancelled before the trial ends. Trial availability, duration, and eligibility are determined by Apple and may vary by region or change without notice.

Pricing: All prices are set in App Store Connect and displayed in your local currency. Prices may change; active subscriptions continue at the original price until renewal.

Refunds: Except where required by applicable law or Apple's refund policy, fees are non-refundable. We do not prorate partial periods. To request a refund, contact Apple Support or use the "Report a Problem" feature in the App Store. Apple-initiated refunds may result in immediate loss of Pro features and associated data.

7. User Responsibilities

You must:

• (a) Be at least 18 years old (or the age of majority in your jurisdiction)
• (b) Maintain device security and protect access to the App
• (c) Verify the accuracy of AI summaries, autofill data, and signature placements
• (d) Ensure PDF modifications comply with applicable laws
• (e) Comply with all electronic signature laws, consumer protection regulations, privacy laws, and document retention requirements in your jurisdiction
• (f) Obtain any required consents from document recipients regarding electronic signatures
• (g) Not use the App for unlawful, fraudulent, or deceptive purposes
• (h) Not upload malicious files, viruses, or code designed to harm the App or devices
• (i) Not attempt to circumvent feature limits, subscription checks, or security controls
• (j) Not reverse engineer, decompile, or extract source code (except where legally permitted)
• (k) Not use the App to infringe third-party intellectual property, privacy, or other rights

You represent and warrant that:

• All information you provide (name, email, phone, address) is accurate
• You have the legal right to sign documents using the App
• You will not misrepresent your identity or authority to sign
• You will comply with all applicable laws when using electronic signatures

8. Accounts and Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the App. You are responsible for all activity occurring on your device.

We may suspend or terminate access if we believe, in our sole discretion, that:

• You have breached these Terms
• Usage violates applicable law, platform policies, or third-party rights
• There is suspected fraud, abuse, security risk, or harm to other users or the App
• Your account exhibits unusual activity patterns

9. Prohibited Uses

You shall not:

• Use the App for unlawful document signing (including fraud, forgery, identity theft, or misrepresentation)
• Create or distribute false, misleading, or fraudulent documents
• Upload malicious code, viruses, malware, or harmful content
• Attempt to circumvent subscription validation, feature limits, or security measures
• Interfere with the App's security controls or third-party services
• Harvest, scrape, or collect data from the App
• Reverse engineer, decompile, or derive source code (except where legally permitted)
• Use the App to develop competing products or services
• Remove, obscure, or alter proprietary notices, trademarks, or copyright information
• Use the App in violation of export control, sanctions, or embargo laws
• Access or use the App on behalf of a competitor for analysis or benchmarking
• Share subscription credentials or entitlements with unauthorized users
• Abuse or exploit AI features for spam, automated content generation, or malicious purposes

10. AI Content and Document Processing Disclaimers

IMPORTANT: You must independently verify all AI-generated content and document modifications.

On-Device Processing: AI features operate entirely on-device. No document content or personal data is transmitted to external servers for processing.

AI Summarization:

• Summaries are generated using on-device Apple Intelligence (Foundation Models)
• AI may misinterpret context, omit important details, or introduce errors
• Summaries are not substitutes for reading the full document
• Legal, financial, medical, or contractual decisions must be based on complete document review
• We provide no guarantee regarding summary accuracy, completeness, or fitness for any purpose

We do not control or guarantee the performance, output, or behavior of Apple Intelligence or any underlying AI model used in the App. Model behavior may change without notice as Apple updates or replaces models.

Autofill Suggestions:

• Autofill values are generated based on user-provided profile data and AI field detection
• You must verify all autofilled values before finalizing documents
• Incorrect autofill (wrong dates, names, addresses, or field mappings) may render documents invalid
• We are not responsible for errors, omissions, or consequences of autofill mistakes

PDF Manipulation:

• The App modifies PDF structure when adding signatures, autofill data, or annotations
• Modified PDFs may not be accepted by all systems, software, or recipients
• Document integrity, authenticity verification, or digital certificate validation is not guaranteed
• Original formatting, fonts, or layout may be altered during processing

Data Accuracy: Calculations, date formatting, and data transformations depend solely on inputs you provide. We provide no guarantee that any output is correct or complies with legal requirements.

11. Third-Party Services and Integrations

The App relies on third-party services for certain functionality:

Firebase (Google LLC):

• Push notifications (Firebase Cloud Messaging)
• Optional Crashlytics (crash reporting, requires user consent)
• Optional Analytics (usage analytics, requires user consent)

RevenueCat:

• Subscription and in-app purchase management
• Entitlement validation

Apple Services:

• App Store billing and subscriptions
• iCloud backup (if enabled by user)
• Apple Intelligence / Foundation Models (on-device AI)

Third-party failures, outages, policy changes, data breaches, or service deprecations may impact App functionality. We are not liable for:

• Unavailability or downtime of third-party services
• Data processing performed under third-party providers' terms and privacy policies
• Changes to third-party APIs, pricing, or service availability
• Third-party security incidents, data breaches, or privacy violations

You acknowledge that your use of these services is subject to their respective terms of service and privacy policies.

12. Maintenance and Support

Loheden AI Solutions AB is solely responsible for App maintenance and support obligations required by applicable law. Apple has no obligation to furnish any maintenance or support for the App.

We provide no guarantee regarding:

• Response times for support inquiries
• Resolution of bugs, errors, or compatibility issues
• Availability of updates or new features
• Continued App Store availability

13. Warranty Disclaimer

THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS, IMPLIED, STATUTORY) INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY OF AI-GENERATED CONTENT
• LEGAL VALIDITY OF ELECTRONIC SIGNATURES
• DOCUMENT INTEGRITY OR AUTHENTICITY
• QUIET ENJOYMENT
• NON-INFRINGEMENT
• ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

WE DO NOT WARRANT THAT:

• The App will be error-free, uninterrupted, secure, or virus-free
• AI summaries or autofill suggestions will be accurate or complete
• Electronic signatures created using the App will be legally valid or enforceable
• PDF modifications will be accepted by all recipients or systems
• Data will not be lost, corrupted, or compromised
• The App will meet your specific requirements or expectations
• Third-party services (Firebase, RevenueCat, iCloud) will remain available

IN THE EVENT THE APP FAILS TO CONFORM TO ANY APPLICABLE WARRANTY, YOU MAY NOTIFY APPLE, AND APPLE WILL REFUND THE PURCHASE PRICE (IF ANY) FOR THE APP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPLE WILL HAVE NO OTHER WARRANTY OBLIGATION WHATSOEVER, AND ANY OTHER CLAIMS, LOSSES, LIABILITIES, DAMAGES, COSTS, OR EXPENSES WILL BE OUR SOLE RESPONSIBILITY.

Apple's App Store refund policies are your sole remedy for defects unless mandatory law provides otherwise.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights, so the above exclusions and limitations may not apply to you.

Nothing in this Agreement affects any non-waivable statutory rights you may have under applicable consumer protection law, including the right to remedies for defective digital content under EU Directive 2019/770.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR ENHANCED DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, business, contracts, or opportunities
• Loss of data, documents, signatures, or backups
• Business interruption or downtime
• Loss of goodwill or reputation
• Costs of replacement goods or services
• Damages resulting from reliance on AI summaries or autofill data
• Legal consequences of invalid or unenforceable electronic signatures
• Document rejection, delays, or disputes arising from PDF modifications
• Unauthorized access to your device or iCloud account
• Third-party service failures (Firebase, RevenueCat, iCloud, Apple Intelligence)

THIS LIMITATION APPLIES EVEN IF:

• We have been advised of the possibility of such damages
• A remedy fails of its essential purpose
• Damages arise from negligence, strict liability, breach of contract, or any other legal theory

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED:

• The amount you paid for your most recent subscription payment or one-time purchase, whichever is applicable

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Loheden AI Solutions AB and its affiliates, officers, directors, employees, agents, suppliers, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

• (a) Your use or misuse of the App or Services
• (b) Your breach of this Agreement or violation of any law
• (c) Documents you create, modify, sign, or distribute using the App
• (d) Disputes with third parties regarding electronic signatures, document validity, or enforceability
• (e) Reliance on AI summaries or autofill data
• (f) Infringement of third-party intellectual property, privacy, publicity, or other rights
• (g) Your representations regarding identity, authority to sign, or document authenticity
• (h) Violations of electronic signature laws, consumer protection regulations, or privacy laws
• (i) Data loss, corruption, or unauthorized access resulting from your device security failures
• (j) Use of the App in violation of export controls, sanctions, or embargo laws

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense. You will cooperate fully with our defense.

16. Intellectual Property

All intellectual property rights in the App and Services (including but not limited to code, design, UI/UX, algorithms, databases, text, graphics, logos, trademarks, trade dress, and documentation) remain the exclusive property of Loheden AI Solutions AB or its licensors.

No rights are transferred to you except the limited license expressly granted in Section 2.

You may not:

• Copy, reproduce, or distribute the App (except as permitted by the license)
• Use our trademarks, logos, or branding without prior written consent
• Create derivative works or competing products based on the App
• Remove or obscure intellectual property notices

Third-Party Claims: In the event of any third-party claim that the App or your possession/use of the App infringes intellectual property rights, we (not Apple) are solely responsible for investigation, defense, settlement, and discharge of such claim to the extent required by this Agreement.

Feedback: You may provide feedback, suggestions, or ideas regarding the App. We may use such feedback without restriction, obligation, or compensation to you.

17. Legal Compliance and Export

You represent and warrant that:

• (i) You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
• (ii) You are not listed on any U.S. Government prohibited or restricted parties list (including the Specially Designated Nationals List or Denied Persons List)
• (iii) You will comply with all applicable export control, sanctions, and import laws

You agree:

• Not to use the App for prohibited or restricted transactions under U.S. export laws
• Not to export, re-export, or transfer the App to prohibited destinations or persons
• To comply with the U.S. Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR) where applicable

Violations of export laws may result in immediate termination and criminal prosecution.

18. Product Claims

Loheden AI Solutions AB, not Apple, is responsible for addressing claims by you or third parties relating to the App or your possession/use of it, including:

• (i) Product liability claims
• (ii) Claims that the App fails to conform to any applicable legal or regulatory requirement
• (iii) Claims arising under consumer protection, privacy, or similar legislation, including claims related to the App's use of on-device processing, AI features, or iCloud integration

This Agreement does not limit our liability to you beyond what is permitted by applicable law.

19. Third-Party Terms

Use of certain features requires compliance with third-party terms of agreement:

• Apple Media Services Terms and Conditions (App Store, iCloud, Apple Intelligence)
• Firebase Terms of Service (Google LLC)
• RevenueCat Terms of Service

You must not violate these third-party terms when using the App. Continued use of the App constitutes acceptance of applicable third-party terms.

We may reference third-party services or providers for informational purposes; such parties are not sponsors, partners, or affiliates unless expressly stated.

20. Third-Party Beneficiaries

You and Loheden AI Solutions AB acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

Applicable service providers (Firebase/Google, RevenueCat, Apple) may also benefit from warranty disclaimers and liability limitations pertaining to their content or services as set forth in this Agreement.

21. Data Protection and Privacy

Your use of the Services is also governed by our Privacy Policy, available at https://loheden.com/lan-signer-privacy-policy/. You should review it to understand how we process personal data.

Key Privacy Principles:

• All PDF content and AI processing occur entirely on-device
• We do not upload, store, or access your PDF documents
• Optional crash reporting and analytics require separate user consent
• Optional iCloud backup is user-controlled and subject to Apple's iCloud Terms

In the event of a conflict between these Terms and the Privacy Policy regarding data handling, the Privacy Policy controls.

22. Termination

Termination by You: You may terminate this Agreement at any time by deleting the App and discontinuing use. Subscription cancellations must be processed through your Apple App Store account settings.

Termination by Us: We may suspend or terminate your access (in whole or part) immediately and without prior notice if:

• (a) You breach these Terms
• (b) We are required by law, court order, or platform policy
• (c) There is suspected fraud, abuse, security risk, or harm to users
• (d) Your account exhibits unusual activity or automated behavior
• (e) We cease offering the App or Services

Effects of Termination:

• Your license to use the App ends immediately
• You must cease all use and delete the App
• Subscriptions continue until cancelled through Apple (no automatic refund)
• Local data may be retained on your device until you delete it
• iCloud backups (if enabled) persist according to your iCloud settings

Survival: Provisions that by nature should survive termination (including Sections 3–5, 7, 9–16, 17, 19–26) survive termination or expiration of this Agreement.

We are not liable for damages resulting from termination in accordance with these Terms.

23. Force Majeure

We are not liable for delays, failures, or interruptions resulting from events beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, epidemics, or public health emergencies
• Acts of war, terrorism, civil unrest, or government actions
• Labor disputes, strikes, or lockouts
• Utility, telecommunications, or internet service provider failures
• Cyberattacks, hacking, denial-of-service attacks, or data breaches
• Third-party service outages (Firebase, RevenueCat, Apple services, iCloud)
• Changes in platform policies, API deprecations, or App Store guidelines
• Hardware or software failures beyond our control
• Acts of God or other force majeure events

During force majeure events, our obligations under this Agreement are suspended to the extent affected.

24. Changes to Services and Agreement

We reserve the right to modify, suspend, discontinue, or limit any aspect of the Services at any time. This Agreement may be updated periodically; revisions take effect upon posting or as otherwise indicated. Notice of changes will be provided by updating the "Last Updated" date and publishing the revised Terms on this page. Continued use of the Services after changes are posted constitutes acceptance of the updated Agreement. Please review these Terms regularly to stay informed of any updates.

25. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Sweden, excluding conflict‑of‑law rules. The exclusive jurisdiction and venue for disputes arising out of or relating to this Agreement are the courts located in Sweden, and you submit to such courts' personal jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

26. Severability; Entire Agreement; No Waiver

Severability: If any provision of this Agreement is held invalid, unenforceable, or contrary to law by a court of competent jurisdiction, the remaining provisions remain in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable while preserving the parties' intent.

Entire Agreement: This Agreement (together with the Privacy Policy) constitutes the entire agreement between you and Loheden AI Solutions AB regarding the App and Services, and supersedes all prior or contemporaneous proposals, representations, understandings, or communications (written or oral) regarding the subject matter.

No Waiver: No waiver of any term or provision of this Agreement is effective unless in writing and signed by Loheden AI Solutions AB. Failure to enforce any provision at any time does not constitute a waiver of our right to enforce that provision or any other provision in the future.

Assignment: You may not assign, transfer, or delegate your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement to any affiliate or successor entity without restriction.

Language: In the event of any inconsistency between translated versions of this Agreement, the English version shall prevail.

29. Acceptance

By downloading, installing, accessing, or using the Lan Signer Mobile Application, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.

If you do not agree to these Terms, you must immediately uninstall the App and discontinue all use.

30. Additional Provisions for Specific Features

30.1 Electronic Signatures

Legal Notice: Electronic signatures created using Lan Signer may or may not be legally valid, enforceable, or compliant with applicable laws in your jurisdiction. Legal requirements vary significantly by country, state, document type, and context.

Your Responsibilities:

• Research and understand electronic signature laws applicable to your situation
• Determine whether documents are suitable for electronic signature
• Obtain necessary consents from all parties
• Maintain audit trails and records as required by law
• Ensure signature recipients accept electronic signatures
• Comply with authentication, disclosure, and record retention requirements

We do not:

• Verify signatory identity or authority
• Provide authentication, certification, or notarization services
• Guarantee acceptance by courts, government agencies, or third parties
• Ensure compliance with jurisdiction-specific laws (e.g., ESIGN, UETA, eIDAS)

30.2 AI-Generated Summaries

Accuracy Disclaimer: AI summaries are generated by on-device Apple Intelligence models. These models:

• May misinterpret legal, technical, or specialized language
• May omit critical details, clauses, or context
• Are not trained on all document types or languages
• Cannot replace human judgment or professional review

Prohibited Reliance: Do not use AI summaries as the sole basis for:

• Signing contracts or legal agreements
• Making financial or business decisions
• Medical, health, or safety-related actions
• Compliance determinations or legal analysis

30.3 Autofill Feature

Field Detection: AI-powered field detection may:

• Incorrectly identify field types (e.g., misclassify "Date" as "Name")
• Miss fillable fields or suggest incorrect mappings
• Fail to detect non-standard form layouts

Data Validation: You must verify:

• Field labels and types are correct
• Autofilled values match intended fields
• Dates are in correct formats for the document
• Names, addresses, and contact information are accurate
• Required fields are not left blank

30.4 iCloud Backup

Optional Feature: iCloud backup is disabled by default and entirely optional. Enabling iCloud backup:

• Copies encrypted PDF files and database backups to your personal iCloud Drive
• Is subject to Apple's iCloud Terms and Conditions and iCloud storage limits
• May incur iCloud storage costs if you exceed your free iCloud storage quota
• Does not guarantee data recovery (backups may fail or become corrupted)

We do not:

• Access, view, decrypt, or control your iCloud backups
• Guarantee backup success, frequency, or completeness
• Provide iCloud storage or manage iCloud accounts
• Restore data if iCloud backups are unavailable or corrupted

Your Responsibilities:

• Verify iCloud backups are working correctly
• Ensure adequate iCloud storage space
